NON-DISCLOSURE AGREEMENT

This Non-Disclosure Agreement (this “Agreement”) is entered into as of _____________, 20___ (the “Effective Date”) by and between Sterling MSO LLC d/b/a Sterling Commercial Real Estate Advisors, a Montana limited liability company (“Broker”), and _________________, a _________________ (“Recipient”), with reference to the following:

In connection with Recipient’s evaluation of a potential tenancy at the Property (the “Purpose”), Broker will disclose certain confidential information regarding the Property, including its specific location, to Recipient solely on the terms and conditions set forth herein.

  1. Confidential Information. As used herein, “Confidential Information” means the specific street address and location of the Property, the identity of the landlord of the Property, the existence of any purchase and sale agreement or other contract affecting the Property, leasing plans and tenant mix strategies, financial projections, development plans, and any other non-public information regarding the Property or its ownership disclosed by Broker or Landlord to Recipient in connection with the Purpose.
  2. Non-Disclosure Obligations. Recipient shall: (a) hold all Confidential Information in strict confidence; (b) not disclose any Confidential Information to any third party without the prior written consent of Landlord; (c) use the Confidential Information solely for the Purpose; and (d) limit access to the Confidential Information to those of Recipient’s employees, officers, directors, attorneys, and financial advisors who have a bona fide need to know such information for the Purpose and who are bound by confidentiality obligations no less restrictive than those set forth herein. Recipient shall promptly notify Broker of any unauthorized disclosure or use of Confidential Information.
  3. Exclusions. The obligations of this Agreement shall not apply to information that: (a) is or becomes publicly available through no act or omission of Recipient; (b) was rightfully known to Recipient prior to disclosure hereunder without restriction; (c) is rightfully obtained by Recipient from a third party without restriction; or (d) is required to be disclosed by law, regulation, or court order, provided that Recipient gives Broker prompt prior written notice of such requirement and cooperates with Landlord in seeking a protective order.
  4. Term. This Agreement shall remain in effect for a period of two (2) years from the Effective Date, or until the Property is Publicly Announced (as defined in the Exclusive Leasing Agreement between Landlord and Broker dated as of April 8, 2026), whichever occurs first, at which point Recipient’s obligations under this Agreement with respect to the location and identity of the Property shall automatically lapse.
  5. Remedies. Recipient acknowledges that any breach of this Agreement may cause irreparable harm to Broker for which monetary damages would be an inadequate remedy, and that Broker shall be entitled to seek equitable relief, including injunction and specific performance, in addition to all other remedies available at law or in equity, without the requirement to post bond or prove actual damages.
  6. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of Montana, without regard to its conflict of laws principles. Any dispute arising hereunder shall be resolved in the state or federal courts located in Missoula County, Montana.
  7. Entire Agreement. This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof and supersedes all prior discussions and understandings. This Agreement may not be amended except by a writing signed by all parties.

IN WITNESS WHEREOF, the parties have executed this Non-Disclosure Agreement as of the Effective Date.
